Términos del Servicio

1. Aceptación

Al crear una cuenta o usar Wapi101 (en adelante, "el Servicio"), aceptas los presentes Términos del Servicio y nuestro Aviso de Privacidad. Si no estás de acuerdo, no debes usar el Servicio.

2. Descripción del Servicio

Wapi101 es un software como servicio (SaaS) tipo CRM (Customer Relationship Management) que permite a empresas gestionar conversaciones con sus contactos a través de canales como WhatsApp, Messenger, Instagram, Telegram y otros canales soportados, así como organizar oportunidades comerciales mediante pipelines, automatizar respuestas con bots, y otras funcionalidades documentadas en el sitio.

3. Cuenta y elegibilidad

• Debes tener al menos 18 años de edad y capacidad legal para contratar.
• Debes proveer información verídica al crear tu cuenta.
• Eres responsable de la seguridad de tu contraseña y de toda actividad realizada bajo tu cuenta.
• Debes notificarnos inmediatamente si sospechas acceso no autorizado.

4. Planes y pagos

Ofrecemos diferentes planes (Starter, Pro, Business) con distintas funciones y límites. Los precios y características vigentes están publicados en wapi101.com.

• Período de prueba: ofrecemos 14 días de prueba gratuita. Al término, si no agregas un método de pago, tu cuenta se degrada al plan gratuito (con límites reducidos).
• Suscripciones: son recurrentes y se renuevan automáticamente cada mes o año hasta que las canceles desde el panel de "Mi cuenta".
• Procesador de pagos: Stripe. Los datos de tarjeta NO se almacenan en nuestros servidores.
• Reembolsos: los pagos no son reembolsables, salvo cuando la ley aplicable lo exija. Puedes cancelar en cualquier momento; el servicio sigue activo hasta el final del período pagado.
• Cambios de precio: notificaremos cualquier modificación con al menos 30 días de anticipación a tu correo registrado.

5. Uso aceptable

NO debes usar Wapi101 para:

• Enviar spam, publicidad no solicitada (cold-mailing masivo) o mensajes a contactos sin su consentimiento previo
• Violar las políticas de WhatsApp, Meta, o cualquier otro proveedor de canal integrado
• Distribuir malware, phishing, contenido fraudulento o engañoso
• Acoso, amenazas, discriminación o cualquier conducta ilegal
• Compartir contenido sexual explícito, violento, o que infrinja derechos de autor
• Intentar acceder a cuentas de otros usuarios sin autorización
• Hacer ingeniería inversa, descompilar o extraer el código fuente del Servicio
• Revender el Servicio sin autorización por escrito
• Generar carga abusiva (DDoS, scraping masivo) que comprometa la disponibilidad para otros usuarios

Cumplimiento con WhatsApp Business: al usar la integración de WhatsApp, te comprometes a cumplir con las Políticas Comerciales de WhatsApp y la Política de Comercio. Las violaciones pueden resultar en suspensión inmediata por parte de Meta.

6. Tu contenido y datos

Conservas la titularidad de los datos que subes o procesas en Wapi101 (contactos, mensajes, archivos). Nos otorgas una licencia limitada para procesarlos solamente con el fin de prestarte el Servicio.

Eres responsable de:

• Obtener el consentimiento de tus contactos para procesar sus datos
• Cumplir con las leyes aplicables de privacidad (LFPDPPP en México, GDPR si tienes contactos europeos, etc.)
• Mantener tus propios respaldos críticos

7. Disponibilidad y soporte

Hacemos esfuerzos razonables por mantener el Servicio disponible 24/7. NO garantizamos un tiempo de actividad específico ("uptime") salvo que se acuerde por separado en un contrato Enterprise. Pueden ocurrir mantenimientos programados; los notificaremos por adelantado cuando sea posible.

El soporte se presta por correo electrónico a [email protected]. Tiempos de respuesta según el plan contratado.

8. Suspensión y cancelación

Podemos suspender o cancelar tu cuenta sin previo aviso si:

• Violas estos Términos
• Tu pago no se procesa correctamente y no resuelves el problema en 7 días naturales
• Hay actividad fraudulenta o sospechosa
• Lo requiere una orden judicial o autoridad competente

Tras la cancelación, tienes 30 días para exportar tus datos contactando a soporte. Después de ese plazo, los datos se eliminan permanentemente.

9. Limitación de responsabilidad

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY:

• Wapi101 se proporciona "TAL CUAL" y "SEGÚN DISPONIBILIDAD", sin garantías expresas o implícitas.
• NO somos responsables de pérdidas indirectas, incidentales, especiales o consecuenciales (lucro cesante, pérdida de oportunidad, daños reputacionales).
• Nuestra responsabilidad total agregada por cualquier reclamo no excederá el monto que pagaste por el Servicio en los 12 meses anteriores al evento que originó el reclamo.
• NO somos responsables de fallas o políticas de proveedores terceros (Meta, WhatsApp, Stripe, etc.) que afecten tu uso del Servicio.

10. Indemnización

Te comprometes a indemnizar y mantener indemne a Wapi101 frente a reclamos de terceros que surjan de: (a) tu uso indebido del Servicio, (b) tu violación de estos Términos, (c) tu violación de derechos de terceros (incluyendo privacidad de tus propios contactos).

11. Propiedad intelectual

Wapi101 (software, marcas, diseños, contenido) es propiedad de los titulares del Servicio y está protegida por leyes de propiedad intelectual aplicables. No otorgamos licencia alguna sobre nuestra propiedad intelectual fuera del derecho de uso del Servicio según estos Términos.

12. Modificaciones a estos Términos

Podemos actualizar estos Términos. Te notificaremos por correo a la cuenta registrada al menos 30 días antes de cambios sustanciales. El uso continuado del Servicio después de la fecha efectiva implica tu aceptación de los Términos modificados.

13. Ley aplicable y jurisdicción

Estos Términos se rigen por las leyes de los Estados Unidos Mexicanos. Cualquier controversia será sometida a la jurisdicción de los tribunales competentes del lugar donde Wapi101 tenga su domicilio fiscal, renunciando expresamente a cualquier otro fuero que pudiera corresponder por razón de domicilio actual o futuro.

1. Acceptance

By creating an account or using Wapi101 (hereinafter, "the Service"), you accept these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of the Service

Wapi101 is a CRM (Customer Relationship Management) software as a service (SaaS) that enables businesses to manage conversations with their contacts through channels such as WhatsApp, Messenger, Instagram, Telegram, and other supported channels, as well as organize business opportunities through pipelines, automate responses with bots, and other features documented on the site.

3. Account and Eligibility

• You must be at least 18 years of age and have the legal capacity to enter into contracts.
• You must provide truthful information when creating your account.
• You are responsible for the security of your password and all activity carried out under your account.
• You must notify us immediately if you suspect unauthorized access.

4. Plans and Payments

We offer different plans (Starter, Pro, Business) with different features and limits. Current prices and features are published at wapi101.com.

• Trial period: we offer a 14-day free trial. At the end, if you do not add a payment method, your account is downgraded to the free plan (with reduced limits).
• Subscriptions: are recurring and renew automatically each month or year until you cancel from the "My Account" panel.
• Payment processor: Stripe. Card data is NOT stored on our servers.
• Refunds: payments are non-refundable, except where required by applicable law. You may cancel at any time; the service remains active until the end of the paid period.
• Price changes: we will notify you of any changes at least 30 days in advance to your registered email.

5. Acceptable Use

You must NOT use Wapi101 to:

• Send spam, unsolicited advertising (mass cold-mailing), or messages to contacts without their prior consent
• Violate WhatsApp, Meta, or any other integrated channel provider's policies
• Distribute malware, phishing, fraudulent, or deceptive content
• Harassment, threats, discrimination, or any illegal conduct
• Share explicit sexual, violent, or copyright-infringing content
• Attempt to access other users' accounts without authorization
• Reverse engineer, decompile, or extract the source code of the Service
• Resell the Service without written authorization
• Generate abusive load (DDoS, mass scraping) that compromises availability for other users

WhatsApp Business compliance: by using the WhatsApp integration, you agree to comply with the WhatsApp Business Policy and the Commerce Policy. Violations may result in immediate suspension by Meta.

6. Your Content and Data

You retain ownership of the data you upload or process in Wapi101 (contacts, messages, files). You grant us a limited license to process it solely for the purpose of providing you with the Service.

You are responsible for:

• Obtaining your contacts' consent to process their data
• Complying with applicable privacy laws (LFPDPPP — Mexican Personal Data Protection Law — in Mexico, GDPR if you have European contacts, etc.)
• Maintaining your own critical backups

7. Availability and Support

We make reasonable efforts to keep the Service available 24/7. We do NOT guarantee a specific uptime unless separately agreed in an Enterprise contract. Scheduled maintenance may occur; we will notify you in advance whenever possible.

8. Suspension and Cancellation

We may suspend or cancel your account without prior notice if:

• You violate these Terms
• Your payment is not processed correctly and you do not resolve the issue within 7 calendar days
• There is fraudulent or suspicious activity
• Required by a court order or competent authority

After cancellation, you have 30 days to export your data by contacting support. After that period, the data is permanently deleted.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Wapi101 is provided "AS IS" and "AS AVAILABLE", without express or implied warranties.
• We are NOT liable for indirect, incidental, special, or consequential losses (lost profits, loss of opportunity, reputational damages).
• Our total aggregate liability for any claim shall not exceed the amount you paid for the Service in the 12 months prior to the event giving rise to the claim.
• We are NOT responsible for failures or policies of third-party providers (Meta, WhatsApp, Stripe, etc.) that affect your use of the Service.

10. Indemnification

You agree to indemnify and hold Wapi101 harmless from third-party claims arising from: (a) your misuse of the Service, (b) your violation of these Terms, (c) your violation of third-party rights (including the privacy of your own contacts).

11. Intellectual Property

Wapi101 (software, trademarks, designs, content) is the property of the Service owners and is protected by applicable intellectual property laws. We grant no license over our intellectual property beyond the right to use the Service under these Terms.

12. Modifications to these Terms

We may update these Terms. We will notify you by email to your registered account at least 30 days before material changes. Continued use of the Service after the effective date implies your acceptance of the modified Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Mexican States. Any dispute shall be submitted to the jurisdiction of the competent courts where Wapi101 has its registered tax domicile, expressly waiving any other jurisdiction that may correspond by reason of current or future domicile.
